MEMBERSHIP AGREEMENT

This Membership Agreement (“Agreement”) is entered into between you (“Member”) and The Mahjong Guild, LLC (“Company,” “we,” “us,” or “our”) governing your membership in The Mahjong Guild.
BY PURCHASING A MEMBERSHIP, YOU AGREE TO BE BOUND BY THIS AGREEMENT. PLEASE READ IT CAREFULLY.
1. MEMBERSHIP TIERS AND BENEFITS
1.1 Available Tiers
The Mahjong Guild offers the following membership tiers:
FRIEND OF THE GUILD TIER (Free):
• Weekly newsletter
GUILD TIER ($4.99/month):
- All Member Tier benefits, PLUS:
- Digital subscription to Dots & Diamonds Quarterly magazine
- Access to member-only forums and community
- Member directory listing
- Exclusive strategy guides and downloadable resources
- Priority customer support
- Early access to new products and features
1.2 Benefit Changes
We reserve the right to modify, add, or remove membership benefits at any time with 30 days’ notice to members via email. Material reductions in benefits will not take effect until your next renewal period.
2. MEMBERSHIP FEES AND PAYMENT
2.1 Monthly Fees
Membership fees are charged monthly in advance. All prices are in U.S. dollars.
2.2 Payment Methods
We accept payment via credit card, debit card, or other payment methods made available through our payment processor (Stripe).
2.3 Failed Payments
If your payment fails at renewal, we will attempt to process the payment up to three times over a 10-day period. If payment continues to fail, your membership will be suspended.
2.4 Taxes
You are responsible for any applicable sales tax, VAT, or other taxes associated with your membership.
3. AUTOMATIC RENEWAL
3.1 Auto-Renewal Terms
Your membership will automatically renew monthly on the anniversary of your purchase date unless you cancel before the renewal date. You authorize us to charge your payment method on file for the renewal amount.
3.2 Price Changes
If the membership price increases, we will notify you at least 30 days before your renewal date. The new price will apply at your next renewal.
4. CANCELLATION AND REFUNDS
4.1 Cancellation by Member
You may cancel your membership at any time by:
- Logging into your account and selecting “Cancel Membership”
- Contacting us at members@themahjongguild.com
Cancellation will take effect at the end of your current membership period. You will retain access until that date.
4.2 Refund Policy
Please see our separate Refund Policy for details on refunds. Generally:
- Refunds are not available. All purchases are final and non-refundable.
- No refunds for renewals
- No partial refunds for unused portion of membership
4.3 Termination by Company
We reserve the right to suspend or terminate your membership immediately if you:
- Violate our Terms of Service or Community Guidelines
- Engage in fraudulent activity
- Abuse or harass other members or staff
- Use the membership for illegal purposes
In cases of termination for violation, no refund will be provided.
5. MEMBER RESPONSIBILITIES
As a member, you agree to:
5.1 Accurate Information
- Provide accurate and current information
- Update your account information promptly
- Keep your login credentials secure
5.2 Acceptable Use
- Use the membership for personal, non-commercial purposes only
- Not share your login credentials with others
- Not resell or transfer your membership
- Follow Community Guidelines in all interactions
- Respect other members’ privacy and rights
5.3 Content Contributions
- Own all rights to content you post
- Not post copyrighted material without permission
- Not post offensive, harmful, or illegal content
- Grant us license to use your content as outlined in our Terms of Service
6. MEMBER DIRECTORY
6.1 Directory Listing
Your membership includes a listing in our member directory. You may choose to:
- Include or exclude yourself from the directory
- Control what information is displayed
- Update your listing at any time
6.2 Directory Use
The member directory is for networking and connecting with fellow members only. You may not:
- Use directory information for marketing or spam
- Harvest or collect directory data
- Share directory information outside the membership
- Contact members who have opted out of directory
7. COMMUNITY ACCESS
7.1 Forum Participation
As a member, you have access to our community forums. By participating, you agree to:
- Follow our Community Guidelines
- Be respectful and constructive
- Not spam or self-promote excessively
- Report violations to moderators
7.2 Moderation
We reserve the right to moderate, edit, or remove any forum content that violates our guidelines. Repeated violations may result in membership suspension or termination.
8. VIRTUAL EVENTS
8.1 Event Access
Your membership includes access to virtual events as specified in your tier benefits.
8.2 Recording and Privacy
Virtual events may be recorded for member access. By participating, you consent to being recorded. You may turn off your camera and/or use a screen name if you prefer privacy.
8.3 Event Conduct
You agree to:
- Be respectful of speakers and other participants
- Not record or screenshot events without permission
- Not disrupt events
- Follow all event-specific guidelines
9. INTELLECTUAL PROPERTY
9.1 Member Resources
All strategy guides, videos, and other resources provided through your membership are for your personal use only. You may not:
- Share resources with non-members
- Reproduce or distribute resources
- Use resources for commercial purposes
- Remove copyright notices
9.2 License
We grant you a limited, non-exclusive, non-transferable license to access and use member resources for personal use during your active membership period.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR MEMBERSHIP.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR MEMBERSHIP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. DISCLAIMERS
11.1 No Guarantees
We do not guarantee that:
- Membership will meet your specific needs
- Member events will always be available
- Resources will always be accessible
- The community will be free from objectionable content
11.2 Member Results
We make no representations about results you may achieve through membership. Your success depends on many factors beyond our control.
11.3 Third-Party Content
Member-generated content and forum posts represent the views of individual members, not the Company.
12. CHANGES TO THIS AGREEMENT
We may modify this Agreement at any time by:
- Posting the updated Agreement on our website
- Sending email notification to members
- Updating the “Last Updated” date
Material changes will be communicated at least 30 days in advance. Continued membership after changes take effect constitutes acceptance.
13. GOVERNING LAW AND DISPUTES
13.1 Governing Law
This Agreement shall be governed by the laws of [YOUR STATE], without regard to conflict of law principles.
13.2 Dispute Resolution
Any disputes arising from this Agreement shall be resolved through:
- First: Good faith informal negotiation
- Then: Binding arbitration in Dallas, GA
- Not: Class action lawsuits (waived)
14. GENERAL PROVISIONS
14.1 Entire Agreement
This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and us regarding your membership.
14.2 Severability
If any provision is found invalid, the remaining provisions remain in effect.
14.3 No Waiver
Our failure to enforce any provision shall not constitute a waiver of that provision.
14.4 Assignment
You may not transfer or assign your membership. We may assign our rights and obligations.

ACKNOWLEDGMENT
BY PURCHASING A MEMBERSHIP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS MEMBERSHIP AGREEMENT.
